Terms of Service

Welcome to Trio. These Terms of Service ("Terms") govern your use of the Trio platform and website located at musicaltrio.com (the "Service"), operated by Trio Creations, LLC ("Trio," "we," "us," or "our").

When you create an account, you will be asked to check a box confirming that you have read and agree to these Terms. Your explicit acceptance is required to create an account and use the Service. If you do not agree, do not create an account.


1. Who Can Use Trio

Studio Accounts (Teachers and Studio Owners)

To create a studio account and subscribe to Trio, you must be at least 18 years old and a legal resident or entity organized in the United States. By creating an account, you represent that you meet these requirements.

Student Accounts

Students must be at least 13 years old to use the Service. Students may only access Trio if they have been invited by a studio account holder (their teacher). Students who are under 18 must have parental or guardian consent before using the Service. By inviting a student under 18, the studio account holder represents that they have obtained the required parental consent.

Trio does not knowingly allow children under 13 to use the Service. If we learn that a user under 13 has accessed the Service, we will terminate that account.


2. Account Registration

When you register for Trio, you agree to:

  • Provide accurate, current, and complete information
  • Keep your account credentials confidential
  • Notify us promptly at info@musicaltrio.com if you suspect unauthorized access to your account
  • Be responsible for all activity that occurs under your account

Your base subscription covers one studio with one teacher account included. Additional teacher seats may be added to your studio account at the then-current monthly rate per seat. During your free trial, your studio is limited to one teacher account.


3. Free Trial

New studio accounts receive a 14-day free trial. No credit card is required to start your trial. At the end of the trial period, you will be prompted to add a payment method. If you do not add a payment method, your account will be paused — we will not charge you automatically, and your data will be preserved for 30 days before deletion.


4. Subscriptions and Payment

Subscription Fee

Trio is billed monthly at the rate published on our pricing page (musicaltrio.com/pricing). The base subscription includes one teacher account. Additional teacher seats are billed at the then-current rate per seat per month.

Billing

You authorize Trio to charge your payment method on a recurring monthly basis beginning on the date you activate your paid subscription. All payments are processed by Stripe. By providing a payment method, you agree to Stripe's Terms of Service and Privacy Policy.

Price Changes

We may change our subscription price with at least 30 days' notice posted on our website or sent to your registered email address. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

Family Payments and ACH Authorization

This subsection applies to families and students paying their studio through Trio (separate from a studio's own subscription, described above). When a family pays a studio through Trio, the studio is the merchant of record; Trio and Stripe process the payment on the studio's behalf.

Families may pay studio invoices by card or by linking a U.S. bank account for ACH (bank) debit. Bank accounts are linked and verified through Stripe, including Stripe Financial Connections.

By linking a bank account and authorizing a payment, you authorize your studio — and Trio and Stripe acting on the studio's behalf — to debit that bank account by ACH for the amount(s) presented:

  • One-time payments authorize a single debit for the invoice you are paying.
  • Autopay authorizes recurring debits for invoices as they come due. This recurring authorization remains in effect until you cancel it by removing the bank account or turning off autopay in the member portal, or by contacting your studio. Cancelling an authorization does not cancel amounts already owed.

ACH debits settle over several business days and may be returned by your bank after a payment first appears successful (for example, insufficient funds or a closed account). A returned payment means the corresponding invoice is unpaid, and your studio's late-payment or returned-payment policies, and any bank fees, may apply. You are responsible for keeping your linked bank account information current.

You may revoke an ACH authorization at any time before a debit is processed by removing the bank account or disabling autopay. Trio does not store full bank account numbers; this information is held by Stripe as our payment processor.


5. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation is effective at the end of your current billing period — you retain access to the Service through that date. No prorated refunds are issued for unused time remaining in a billing period.

After cancellation, your account data (student records, schedules, notes, and billing history) will be retained for 30 days, during which you may export your data. After 30 days, your data will be permanently deleted.


6. Refund Policy

All subscription fees are non-refundable except as required by applicable law. If you believe you have been charged in error, contact us at info@musicaltrio.com within 30 days of the charge.


7. Service Availability

We target 99.9% monthly uptime for the Trio platform, excluding scheduled maintenance (which we will announce at least 24 hours in advance).

If Trio's monthly uptime falls below 99.9% in any calendar month, you may request a service credit equal to 10% of your monthly subscription fee for each hour (or partial hour) of excess downtime, up to a maximum of 100% of your monthly subscription fee. To request a credit, contact info@musicaltrio.com within 15 days of the affected month. Service credits are applied to future billing and are not redeemable for cash.

This service credit is your sole remedy for downtime or service interruptions.


8. Your Content

Trio enables you to enter and store information such as student records, lesson notes, schedules, payment records, and other data ("Your Content"). You retain all ownership of Your Content.

By using the Service, you grant Trio a limited, non-exclusive license to store, display, and process Your Content solely to provide the Service to you. We do not sell Your Content to third parties. We may use aggregated, de-identified data (data that cannot identify you or your students) for product improvement and analytics.

You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights, and that you have the necessary rights and consents to enter student information into the Service, including parental or guardian consent for photos, videos, or audio of minor students.

AI-Assisted Catalog Import

Trio offers an AI-assisted library import feature that uses publicly available web search results to suggest metadata for music compositions — including titles, composer names, difficulty information, and short descriptions. These descriptions are synthesized by Trio's AI systems from publicly available sources; they are not reproduced verbatim from any publisher's proprietary materials.

You acknowledge that:

  • AI-generated content may be inaccurate. Suggested metadata is offered as a data-entry convenience, not as a guarantee of accuracy, completeness, or endorsement by any publisher or rights holder.
  • You are responsible for reviewing all imported content. Before relying on any AI-suggested catalog entry, you should verify it against your own knowledge of the material.
  • All saved catalog entries are Your Content. Whether entered manually or accepted from an AI suggestion, saved entries are governed by this Section 8 and you remain responsible for ensuring they do not infringe third-party rights.
  • Trio does not represent that imported data is authorized or endorsed by the publisher of the relevant method book or composition.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Misrepresent your identity or affiliation
  • Upload or transmit harmful, offensive, or infringing content
  • Attempt to gain unauthorized access to Trio's systems or other users' accounts
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
  • Use the Service to send spam or unsolicited communications
  • Resell or sublicense access to the Service without our written consent

10. Third-Party Services

Trio integrates with third-party services to deliver the platform, including:

  • Stripe — payment processing
  • Supabase — database and authentication
  • Google Analytics — website usage analytics
  • OpenRouter — AI-powered features, including "Ask Trio" and the AI-assisted library import feature
  • Resend — transactional email
  • Twilio — SMS notifications
  • Browser push services (Apple, Google, Mozilla, Microsoft) — web push notification delivery

When you use features powered by these services, your data may be transmitted to and processed by them. Trio is not responsible for the practices or content of third-party services. We encourage you to review their respective privacy policies.

When you use the "Ask Trio" AI feature, your input is sent to OpenRouter, which in turn forwards it to downstream inference providers. OpenRouter's data privacy mode is enabled — your data is not retained by OpenRouter or its downstream providers beyond the duration of the request. See openrouter.ai/privacy for details.

Trio also offers a Model Context Protocol (MCP) server that lets Max-plan studio owners and admins connect an external AI assistant of their choice to read studio data. Unlike the services listed above, you choose the AI provider — Trio does not select or contract with it on your behalf. Use of the MCP server is governed by the MCP Terms Addendum below.


11. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


12. Intellectual Property

The Trio platform, including its software, design, trademarks, and content (excluding Your Content), is owned by Trio Creations, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from Trio's proprietary content without our written permission.

"Trio" and the Trio logo are trademarks of Trio Creations, LLC.


13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT FOR THE UPTIME COMMITMENT IN SECTION 7, TRIO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TRIO DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

TRIO'S AI-ASSISTED FEATURES — INCLUDING THE LIBRARY IMPORT FEATURE — RELY ON THIRD-PARTY WEB SEARCH RESULTS AND AI SYNTHESIS. TRIO MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE OF AI-GENERATED CONTENT OR SUGGESTIONS. YOU USE AI-GENERATED CONTENT AT YOUR OWN RISK AND REMAIN SOLELY RESPONSIBLE FOR ANY CATALOG ENTRIES YOU SAVE.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE OR THESE TERMS, EVEN IF TRIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRIO IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.


15. Indemnification

You agree to defend, indemnify, and hold harmless Trio Creations, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.


16. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to contact Trio at info@musicaltrio.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Service (except claims described below) shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in Florida. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND TRIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Exceptions

The following claims are excluded from arbitration and may be brought in court: (a) claims that qualify for small claims court; (b) claims seeking emergency injunctive or equitable relief to protect intellectual property rights or prevent unauthorized use of the Service.


17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Except for disputes subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Florida.


18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

We will maintain an archive of prior versions of these Terms, available on request.


19. Termination

Trio may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may terminate your account at any time by cancelling your subscription and contacting us at info@musicaltrio.com.

Upon termination, your right to use the Service ceases immediately. The following sections survive termination: 8 (Your Content — license terminates, ownership provisions survive), 12–16 (IP, Disclaimers, Liability, Indemnification, Disputes).


20. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Trio regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without Trio's written consent. Trio may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Trio is not liable for failures or delays caused by circumstances beyond our reasonable control.

21. SMS Messaging Program

  • Program operator. Trio (operated by Trio Creations, LLC) is the program operator and brand of record for the SMS messaging program registered under A2P 10DLC.
  • Consent. By providing your mobile phone number through any of the consent paths described in our Privacy Policy and submitting the relevant form, you agree to receive SMS messages from Trio related to your enrollment at the music studio that enrolled you.
  • Message types and frequency. Message types are listed in the Privacy Policy. Message frequency varies based on your lesson schedule and your studio's communication patterns; typical recipients receive one to three messages per week.
  • Carrier rates. Message and data rates may apply. Trio is not responsible for carrier charges incurred to receive SMS messages from Trio.
  • Opt-out and help. Reply STOP to opt out of SMS messages at any time. Reply HELP for help. The carrier-supported opt-out keywords listed in the Privacy Policy are also honored.
  • Carriers and availability. Carriers are not liable for delayed or undelivered messages. Service availability depends on the recipient's carrier; not all carriers are supported in all regions.

22. Push Notifications

  • Opt-in. Push notifications are an opt-in channel. Trio will not send you push notifications until you explicitly grant browser-level permission on a device, and you may grant or deny permission separately for each device you use.
  • Permitted use. Push notifications are used only for transactional and operational notifications tied to your Trio account — lessons, messages, payments, and similar account events. Trio does not send marketing, promotional, contest, or affiliate push notifications.
  • Withdrawal of consent. You may withdraw your consent at any time by disabling push notifications in Settings → Notifications in Trio, or by revoking notification permission at the operating system or browser level. Either action stops future push notifications from being delivered to that device.
  • Delivery limitations. Push notifications are delivered through push services operated by your browser vendor (for example, Apple, Google, Mozilla, or Microsoft) and depend on your device's network connection and notification settings. Trio is not responsible for delivery failures caused by your browser, operating system, device configuration, network conditions, or the third-party push service. This limitation is analogous to the carrier-rates and carrier-availability limitations in Section 21 above.

Model Context Protocol (MCP) Terms Addendum

This addendum supplements the Trio Terms of Service and governs your use of the Trio MCP server, which lets you connect compatible AI assistants (such as Claude, ChatGPT, or Cursor) to your Trio studio. Capitalized terms not defined here have the meanings given in the main Terms.


1. What the MCP Server Does

The Trio MCP server gives a connected AI assistant read-only access to your studio data. The assistant can look up students, families, schedules, attendance, lesson notes, invoices, and other studio information — the same data you already see in your Trio dashboard. The assistant cannot create, edit, or delete anything in your studio through MCP.


2. Eligibility

The MCP server is available to studio owners and admins on the Max plan. You must enable the feature in your studio settings before any connection can be made. During the initial rollout the feature may be limited to an invite-only alpha or beta; Trio may expand or restrict access at any time.


3. How It Works

When you connect an AI assistant, Trio walks you through an approval screen that shows:

  • The name of the application requesting access (self-reported by the application and not verified by Trio)
  • The categories of studio data the application will be able to read
  • A confirmation that you have permission from your families to share their data

You must complete this approval for each new application. Trio issues a time-limited access credential to the approved application. That credential is refreshable but can be revoked at any time.


4. Your Responsibilities

By using the MCP server you agree that:

  • You are responsible for connected applications. You choose which AI assistant to connect and bear responsibility for everything it does with your studio data. Trio does not control, endorse, or vet connected applications.
  • You will keep credentials secure. Treat MCP access credentials like any other account credential. If you suspect compromise, revoke access immediately from Connected Apps in your Trio settings.
  • You have family permission. Before connecting an AI assistant, you confirm that you have appropriate authorization from your students' families (or parents/guardians of minors) to share their data with the connected application and its provider.
  • You comply with applicable law. You are responsible for ensuring that your use of the MCP server, including any onward sharing of student data with a third-party AI provider, complies with all applicable privacy and data protection laws.

5. Third-Party AI Providers

Data returned to a connected AI assistant leaves Trio's systems and is processed by the AI provider you chose. Once data leaves Trio, it is governed by that provider's own terms and privacy practices, not Trio's. Trio has no contractual relationship with your chosen AI provider and makes no representations about how they handle, store, or retain your data.

You are responsible for reviewing the terms and privacy policies of any AI provider you connect.


6. Data Access Controls and Revocation

  • Role-scoped access. A connected application can only read data that your Trio role (owner or admin) already permits you to view.
  • Revocation at any time. You can revoke any connected application from Settings → Connected Apps. Revocation takes effect immediately.
  • Automatic revocation. Trio automatically revokes connected applications when your studio downgrades from the Max plan, the MCP feature is disabled, or your owner/admin role is removed.
  • Trio's right to revoke. Trio may revoke any connected application at any time to protect studio data, enforce these Terms, or respond to a security concern — with or without prior notice.

7. Rate Limits and Fair Use

To protect performance and prevent misuse, MCP connections are subject to per-session rate limits and response-size caps. Trio may adjust these limits at any time. Attempts to circumvent rate limits or programmatically extract data in bulk are a violation of these Terms.


8. Audit Logging

Trio logs every data request made by a connected AI assistant, including which tool was called, when, and the volume of data returned. Request arguments are recorded as cryptographic hashes, not in plain text, so the audit trail supports incident response without creating a secondary store of personal information. These logs may be used to investigate suspicious activity or respond to security incidents.


9. Service Availability and Changes

The MCP server is provided on an "as-is" and "as-available" basis. During alpha or beta phases, the feature may change, have limited availability, or be withdrawn entirely. Trio may modify the tools, data categories, rate limits, authentication requirements, or any other aspect of the MCP server at any time. Continued use after a change constitutes acceptance of the updated terms.


10. Disclaimers Specific to MCP

In addition to the disclaimers in the main Terms of Service:

  • AI output is not Trio's responsibility. Trio provides data to your connected AI assistant but has no control over how the assistant interprets, summarizes, or presents that data. Any advice, analysis, or output generated by a connected AI assistant is the product of that assistant's provider, not Trio.
  • No guarantee of accuracy. Data delivered through MCP reflects the current state of your studio records. Trio does not warrant that the data is complete, current, or free of error — the same standard that applies to the Service generally.
  • No write operations. The current version of the MCP server is read-only. If write operations are introduced in the future, they will be subject to additional terms and controls.

11. Indemnification

In addition to your obligations under the main Terms of Service, you agree to defend, indemnify, and hold harmless Trio Creations, LLC from any claims, damages, losses, or expenses arising from: (a) your connection of a third-party AI application to your studio; (b) any third-party AI provider's handling of your studio data; or (c) your failure to obtain required consents from families or comply with applicable law in connection with your use of the MCP server.
